UGC Ninja Company Creator Agreement
Welcome to the UGC Ninja creator’s family! This Creator Agreement outlines the terms and conditions governing our collaboration.
1. Welcome and Introduction
This agreement establishes the terms and conditions of the collaboration between UGC Ninja Company and the Creator for the submission and utilization of video content.
2. Video Submission Guidelines
Creators may submit short videos made with a mobile phone or video camera in the required format to UGC Ninja Company via Dropbox or any cloud drive.
3. Review and Selection of Submissions
UGC Ninja Company reserves the right to accept or decline any video materials at its sole discretion.
Creators will be notified of the acceptance or rejection of their submissions.
4. Creator’s Warranties
Creators confirm they have the authority to submit the videos and grant the rights herein.
Submitted videos must be original, not infringe on third-party rights, and not contain defamatory or unlawful material.
5. Rights Transfer and Usage
Upon acceptance and payment, Creators transfer all rights, title, and interest in the submitted video to UGC Ninja Company perpetually.
Creators may use their content for their portfolio, subject to certain limitations to be discussed and agreed upon.
6. Compensation and Payment
Payment amounts and terms will be agreed upon with the Creator before shooting.
UGC Ninja Company is not responsible for errors in payment details provided by the Creator.
7. Data Protection and Privacy
UGC Ninja Company will collect and process personal data provided by Creators for the purpose of managing project offers and ensuring proper payment.
Creators have rights to access, modify, and request deletion of their data, in compliance with global data protection regulations.
8. Indemnification
Creators will indemnify UGC Ninja Company against claims arising from breaches of warranties or misuse of submitted videos.
9. Termination
Either party may terminate this agreement at any time without notice.
Termination does not nullify agreements or transactions related to previously submitted and accepted videos.
10. Assignment of Rights
UGC Ninja Company may assign or transfer rights to any paid videos to third parties under specified conditions.
11. Limitation of Liability
UGC Ninja Company is not liable for indirect, incidental, or consequential damages arising from this agreement.
12. Independent Contractor Relationship
Creators are independent contractors and not employees of UGC Ninja Company.
13. Governing Law
This agreement is governed by the laws of the State of Delaware, United States.
14. Amendments to the Agreement
UGC Ninja Company may amend these terms and notify Creators via email.
Creators are responsible for reviewing notifications of changes.
15. Agreement Acknowledgement
By submitting videos, Creators confirm they have read, understood, and agree to these terms and conditions.
